These Terms of Service govern your access to and use of the East Valley Foods website, located at https://eastvalleyfoods.com/, including any pages, features, customer accounts, online store functions, content, products, and services available through the website collectively referred to as the “Site.”

The Site is owned and operated by East Valley Corporation, doing business as East Valley Foods, referred to in these Terms as “East Valley Foods,” “we,” “us,” or “our.”

By accessing the Site, creating an account, placing an order, or otherwise using the Site, you agree to these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not use the Site or place an order through it.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order through the Site. A person under 18 may use the Site only with the involvement and permission of a parent or legal guardian.

By using the Site, you represent that the information you provide is accurate, that you have the authority to use your selected payment method, and that your use of the Site complies with applicable law.

2. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Site, our products, our business practices, or applicable legal requirements. The revised Terms will become effective when posted on the Site unless a later effective date is stated.

The “Last updated” date at the top of this page identifies the most recent revision. Your continued use of the Site after revised Terms are posted means that you accept those revised Terms.

3. Products and Food Information

East Valley Foods produces and sells freeze-dried fruit, yogurt, smoothie, and related snack products. We make reasonable efforts to provide accurate product names, descriptions, photographs, ingredients, package sizes, pricing, nutrition information, availability, and other product details.

Because our products contain natural ingredients and are produced in batches, their color, shape, size, texture, flavor, and appearance may vary. Product photographs are provided for general illustration and may not exactly represent the product delivered.

Product packaging, ingredient lists, Nutrition Facts panels, allergen statements, storage instructions, and other information printed on the physical product control if they differ from information displayed on the Site.

You are responsible for reviewing all ingredients, allergen information, dietary claims, preparation information, and product labels before consuming or providing a product to another person. Customers with food allergies, sensitivities, medical conditions, or specific dietary requirements should consult an appropriate healthcare professional and contact us with any product-specific questions before placing an order.

Information provided on the Site is for general informational purposes. It is not medical advice and is not intended to diagnose, treat, cure, or prevent any disease or health condition. Statements about ingredients, nutrition, wellness, exercise, or possible health benefits should not be treated as a substitute for professional medical or nutritional advice.

4. Product Availability

All products are subject to availability. A product appearing as available or “in stock” does not guarantee that it will remain available when an order is reviewed or fulfilled.

Some products may be seasonal, produced in limited quantities, temporarily unavailable, or discontinued without notice. We may limit the quantity of a product that may be purchased by one customer, account, household, payment method, billing address, or shipping address.

5. Orders and Order Acceptance

Submitting an order constitutes an offer to purchase the products listed in the order. An automated order confirmation acknowledges that we received the order but does not necessarily mean that the order has been accepted or shipped.

We reserve the right to accept, reject, limit, place on hold, or cancel an order for legitimate reasons, including:

• Product unavailability;
• Incorrect product, pricing, discount, tax, or shipping information;
• Problems verifying payment or customer information;
• Suspected fraud or unauthorized payment activity;
• Orders that appear intended for unauthorized resale;
• Technical errors affecting the Site or checkout process; or
• Restrictions imposed by law, a payment provider, or a shipping carrier.

If we cancel an order after payment has been collected, we will issue an appropriate refund to the original payment method.

6. Prices, Taxes, and Payment

All prices displayed on the Site are stated in United States dollars unless otherwise indicated. Prices may change at any time before an order is submitted. A price change will not ordinarily affect an order that we have already accepted.

Applicable taxes, shipping charges, discounts, and the total order amount will be displayed during checkout before the order is submitted.

You agree to provide complete, current, and accurate billing, payment, shipping, and contact information. You authorize us and our payment-processing providers to charge your selected payment method for the total amount displayed at checkout.

Payments are processed through third-party payment providers. East Valley Foods does not guarantee that every payment method will always be available. The payment methods offered during checkout are the payment methods currently accepted for that transaction.

We may correct an obvious pricing or calculation error. If an error affects an order you already submitted, we may contact you for approval of the corrected amount or cancel the affected item or order and issue a refund.

7. Promotions and Discount Codes

Promotions, sales, free-shipping offers, coupons, and discount codes may be subject to additional requirements, expiration dates, product restrictions, minimum-order amounts, geographic restrictions, or usage limits stated with the offer.

Unless expressly stated otherwise, promotions and discount codes:

• Cannot be combined;
• Have no cash value;
• Cannot be applied to completed orders;
• May be limited to one use per customer or household; and
• Are available only while the applicable promotion remains active.

We may reject or cancel the unauthorized, fraudulent, duplicated, or otherwise improper use of a promotion or discount code.

8. Shipping and Delivery

East Valley Foods currently advertises free standard shipping to eligible delivery addresses in the continental United States. Availability, delivery methods, minimum-order requirements, exclusions, and any charges displayed during checkout control for the specific order.

Shipping to Alaska, Hawaii, United States territories, post office boxes, military addresses, or other locations may be unavailable, may require a different shipping method, or may involve additional charges. The options shown during checkout determine whether an address is eligible.

Any processing, shipping, or delivery date provided by the Site is an estimate unless we expressly state that the date is guaranteed. Delivery may be affected by carrier delays, severe weather, holidays, supply interruptions, address problems, emergencies, and other events outside our reasonable control.

We will make reasonable efforts to ship accepted orders within the timeframe communicated during checkout or in the order confirmation. If we cannot ship an order within the promised timeframe, we may contact you to request consent to a revised shipping date or provide the opportunity to cancel the unshipped order and receive a refund, as required by applicable law.

You are responsible for providing a complete and accurate delivery address. Please review the shipping address before submitting the order. Contact us immediately if an address correction is needed. We cannot guarantee that an address can be changed after an order enters fulfillment.

If tracking indicates delivery but you cannot locate the package, check the delivery area, household members, neighbors, building management, and the shipping carrier before contacting us. We will reasonably assist with available carrier information and eligible claims.

9. Order Cancellations

To request cancellation of a one-time order, contact us at info@eastvalleyfoods.com as soon as possible.

We will attempt to honor a cancellation request received before fulfillment, but we cannot guarantee cancellation once an order has been processed, packed, or transferred to a shipping carrier.

10. Subscriptions and Recurring Orders

East Valley Foods will not charge you on a recurring basis unless a product page and the checkout process clearly identify the purchase as a subscription or recurring order and you affirmatively select and authorize that option.

If subscription products are offered, the checkout process will disclose the applicable:

• Product and quantity;
• Recurring price;
• Billing and shipment frequency;
• Applicable discount;
• Shipping charges or free-shipping eligibility;
• Automatic-renewal terms; and
• Cancellation instructions.

A subscription continues and your selected payment method may be charged at the stated interval until the subscription is canceled or terminated.

You may cancel an active subscription before its next renewal by using the cancellation option available through your customer account, when available, or by contacting info@eastvalleyfoods.com.

Cancellation prevents future renewals after the cancellation becomes effective. It does not necessarily cancel or refund an order that was already billed, processed, packed, or shipped before the cancellation request was completed.

If a future subscription price or other material subscription term changes, we will provide notice and obtain any consent required by applicable law before charging the changed amount.

An order is a one-time purchase when no subscription option is clearly displayed, selected, and authorized during checkout.

11. Returns, Replacements, and Refunds

Because East Valley Foods sells food products, all properly fulfilled sales are generally final. We do not accept ordinary returns or provide refunds based on taste preference, a change of mind, natural differences in product color or texture, or failure to review the product description or ingredient information.

We will provide a replacement or another appropriate resolution when:

• The product was materially damaged during shipping;
• You received a product different from the product ordered;
• A product is missing from the delivered order; or
• The product has another verified quality or packaging problem for which East Valley Foods is responsible.

To request assistance, email info@eastvalleyfoods.com as soon as reasonably possible after delivery. Include:

• Your name;
• Your order number;
• The date the order was received;
• A description of the problem; and
• Clear photographs of the product, packaging, shipping container, and shipping label when relevant.

Please retain the affected product and packaging until we respond. We may need additional information to verify the issue or submit a carrier claim.

When a claim is approved, we will ordinarily replace the affected product without additional product or standard-shipping charges. If replacement is unavailable or another remedy is required by applicable law, we may issue a partial or full refund to the original payment method.

Refund processing times depend on the payment provider and financial institution. East Valley Foods does not control how quickly a bank or card issuer posts an approved refund.

Nothing in this section limits any non-waivable warranty, refund, chargeback, or consumer-protection right available under applicable law.

12. Customer Accounts

Certain Site features may permit or require you to create a customer account. You agree to provide accurate information and keep the information associated with your account current.

You are responsible for protecting your password and restricting access to your account and devices. You are responsible for activity conducted through your account unless the activity resulted from a security failure for which East Valley Foods is legally responsible.

Notify us promptly if you believe your account or payment information has been accessed or used without authorization.

We may suspend or terminate an account that is used fraudulently, unlawfully, abusively, or in violation of these Terms.

13. Reviews, Comments, and Other Submissions

The Site may permit customers to submit product reviews, ratings, comments, questions, photographs, messages, or other materials referred to as “User Content.”

You retain ownership of User Content you create. By submitting User Content to the Site, you grant East Valley Foods a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, format, and use that content in connection with operating, promoting, and improving East Valley Foods and the Site.

You represent that your User Content:

• Reflects your honest experience or opinion;
• Is accurate to the best of your knowledge;
• Does not infringe another person’s intellectual-property or privacy rights;
• Does not contain unlawful, threatening, harassing, defamatory, obscene, or deceptive material;
• Does not contain malicious code, spam, or unauthorized advertising; and
• Does not reveal another person’s confidential or personal information without permission.

We may moderate, refuse, remove, or restrict User Content that violates these Terms, is unrelated to the relevant product, contains personal information, or is otherwise unlawful or inappropriate. We are not required to publish every submission.

14. Intellectual Property

The Site and its contents, including business names, logos, graphics, photographs, product images, videos, text, recipes, page layouts, software, design elements, and other materials, are owned by or licensed to East Valley Foods and are protected by applicable intellectual-property laws.

You may access and use the Site for your personal, non-commercial shopping and informational purposes. You may not copy, reproduce, distribute, republish, display, sell, license, modify, scrape, or commercially exploit Site content without prior written permission from East Valley Foods or the applicable rights holder.

No license or ownership right is transferred to you merely because you access the Site or purchase a product.

15. Prohibited Uses

You may not use the Site to:

• Violate any applicable law or regulation;
• Commit fraud or provide false payment, account, or delivery information;
• Access another person’s account without authorization;
• Interfere with the Site’s operation, security, servers, or networks;
• Introduce viruses, malware, malicious code, or harmful technology;
• Attempt to bypass security, access restrictions, or checkout controls;
• Use automated scraping, crawling, extraction, or data-mining tools without written permission;
• Collect personal information about other users;
• Impersonate East Valley Foods or another person;
• Submit fraudulent reviews, orders, complaints, claims, or chargebacks;
• Use Site content to create a competing product, database, or commercial service; or
• Engage in conduct that damages, disables, overloads, or disrupts the Site.

We may investigate suspected violations and cooperate with payment providers, shipping carriers, regulators, or law-enforcement authorities when appropriate and legally permitted.

16. Third-Party Services and Links

The Site may rely on or link to third-party services, including payment processors, shipping carriers, analytics providers, social-media platforms, mapping services, email providers, and other websites.

Third-party services are governed by their own terms and privacy practices. East Valley Foods does not control and is not responsible for a third party’s website, content, availability, security, policies, or independent conduct.

A link to a third-party website does not necessarily constitute an endorsement of that third party or its products or services.

17. Privacy

Our collection and use of personal information are described in the Privacy Policy posted on the Site. By using the Site, you acknowledge that information may be processed as described in that Privacy Policy.

Payment-card information may be collected and processed directly by third-party payment providers. East Valley Foods may not receive or store the complete card number used for a transaction.

18. Electronic Communications

By using the Site, placing an order, creating an account, or contacting us electronically, you consent to receive transaction-related communications electronically. These may include order confirmations, receipts, shipping updates, account notices, policy notices, and customer-service responses.

Electronic notices satisfy any legal requirement that a communication be in writing to the extent permitted by applicable law.

Marketing emails are separate from required transactional communications. You may unsubscribe from marketing emails by using the unsubscribe link included in the message or contacting us.

19. Site Availability and Corrections

We do not guarantee that the Site will always be uninterrupted, secure, or free from errors. Maintenance, updates, technical problems, third-party failures, or events beyond our control may temporarily affect availability.

The Site may contain typographical errors, outdated information, inaccurate availability information, or other omissions. We may correct or update Site content at any time.

We may modify, suspend, restrict, or discontinue all or part of the Site when reasonably necessary. This does not eliminate obligations relating to orders that were already accepted.

20. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and its informational content are provided on an “as is” and “as available” basis.

East Valley Foods does not warrant that the Site will operate without interruption, that every error will be corrected, that the Site will be free of harmful components, or that all content will always be complete or current.

Except for express written promises made in these Terms, on a product label, or as otherwise required by law, we disclaim implied warranties to the fullest extent legally permitted, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent legally permitted. Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.

21. Limitation of Liability

To the fullest extent permitted by applicable law, East Valley Foods and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the Site or an order.

To the fullest extent permitted by law, our aggregate liability arising from a particular product order will not exceed the amount you paid to East Valley Foods for the specific order giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be limited or excluded, including liability for fraud, willful misconduct, gross negligence, personal injury caused by legally actionable negligence, or non-waivable statutory consumer rights.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless East Valley Foods and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, losses, and reasonable expenses arising from:

• Your unlawful or unauthorized use of the Site;
• Your material violation of these Terms;
• Your infringement of another person’s intellectual-property, privacy, or other legal rights; or
• User Content you submit to the Site.

This indemnification obligation does not apply to claims caused by East Valley Foods’ own negligence, unlawful conduct, or breach of these Terms.

23. Events Beyond Our Reasonable Control

East Valley Foods will not be responsible for delays or failures caused by events outside our reasonable control, including severe weather, natural disasters, fires, transportation interruptions, carrier failures, labor disputes, utility or internet outages, cyberattacks, governmental actions, public-health emergencies, shortages, or supplier disruptions.

This section does not remove any obligation to provide notice, permit cancellation, or issue a refund when required by applicable law.

24. Governing Law and Venue

These Terms and your use of the Site are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where the law of your state or jurisdiction provides consumer rights that cannot be waived.

Subject to applicable consumer-protection and small-claims rights, any legal proceeding arising from these Terms or the Site must be brought in a state court located in Northampton County, Pennsylvania, or a federal court having jurisdiction over Northampton County, Pennsylvania.

You and East Valley Foods consent to the jurisdiction of those courts to the extent permitted by law.

25. Informal Dispute Resolution

Before filing a legal claim, we encourage you to contact us and provide a reasonable opportunity to resolve the issue.

Your notice should include your name, contact information, relevant order number, a description of the problem, and the resolution you are requesting.

Nothing in this section prevents either party from seeking urgent injunctive relief, using an eligible small-claims process, disputing a payment within an applicable statutory deadline, or exercising another right that cannot legally be restricted.

26. Severability

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or severed if necessary. The remaining provisions will continue in effect.

27. No Waiver

Our failure to enforce a provision of these Terms does not waive that provision or our right to enforce it later. A waiver is effective only when made in writing by an authorized representative of East Valley Foods.

28. Assignment

You may not assign your rights or obligations under these Terms without our written consent.

East Valley Foods may assign these Terms in connection with a merger, reorganization, sale of assets, financing, change of control, or transfer of the Site or business, subject to applicable law.

29. Entire Agreement

These Terms, together with the Privacy Policy, product-specific terms, promotion-specific terms, and other policies expressly incorporated into them, constitute the entire agreement between you and East Valley Foods regarding the Site and online orders.

If product-specific or promotion-specific terms conflict with these general Terms, the more specific terms control for the applicable product or promotion, unless prohibited by law.
